Item 8.01.       Other Events.

Fractional Shares

FS Investment Corporation (the “Company”) has decided to eliminate any outstanding fractional shares of its common stock (the “Fractional Shares”) in connection with its anticipated listing of its shares of common stock on the New York Stock Exchange LLC (“NYSE”), as permitted by the Maryland General Corporation Law. The Company eliminated all outstanding Fractional Shares by rounding up the number of Fractional Shares held by each of the Company’s stockholders to the nearest whole number of shares as of April 4, 2014.
